Holy shit, I'll bet DeathSantis is big fucking mad. What a fucking move by Disney. And man, this is going to set up one helluva lawsuit. First line: "At issue in this case is the extent to which a multinational corporation can serve as government of a municipality..." Anyway, I skimmed the declaration. Looks to me like there's a big fucking problem with it. Sections 5.2 and 5.4. Go read it. Those clauses require the district to stop every motor vehicle coming onto its property and prohibit the display of any Disney intellectual property. You certainly couldn't allow the Disney charter buses through nor could you let anyone with a Disney bumper sticker or car magnet through because that would be allowing the display of Disney IP on the district's property. Let's see if DeathSantis has the balls to set up a checkpoint to ensure compliance with that covenant. You block the entrance to DisneyWorld to anyone wearing Mickey ears or other Disney gear (which is literally what the fucking covenant requires) and I'll bet you Disney will have an amendment to those declarations ready by lunchtime. The district owns 179 miles of road. Man, if I was the lawyer who drafted that my asshole would be puckered sofaking tight right now. That autocratic Bill of Attainder enacting cunt DeSantis aka Meatball Hitler getting kneecapped by an agreement referencing the British royal family to satisfy the Rule Against Perpetuities* is better than porn *I actually understood that rule in depth on an elemental level once upon a time. Now it's just "21 years" blah blah blah "vest" blah blah blah "life in being" blah blah blah fuck it.

Whether it was a kneecapping or a speedbump will be up to the courts. The unilateral amendment right in the declaration is categorically unenforceable. I didn't read the development agreement, but together with the declaration the board members who approved that are going to have a helluva time alleging that the act did not constitute waste or an ultra vires act. Those people are gonna get personally sued and there's a decent chance that the courts won't allow their conduct to be covered by insurance or other indemnity arrangement. I don't give a flying fuck what the political puts and takes are, there's no god damned way I'd approve that if I was on the board. This is the kind of shit that leads to 7 years of depositions and carries massive potential personal liability. That lawyer who represented the district is going to be the subject of an ethics inquiry as well. His client is the district and according to his linked in profile he used to work for Disney. He's absolutely going to have to defend the entire fairness of the transaction from the district's perspective and that will be nearly impossible. The news article and the attached declaration is like a fucking final exam of everything covered in law school. It's going to be a major shitshow. Disney's gambit is likely to try to wait out DeathSantis and wait for the governor's office to turn over and then hope they can cut a different deal and use the agreement and declaration as a tool to gum up the works. My guess is the underlying documents will be struck down if the government fully pursues the case, but that will take close to a decade and will cost tens of millions of dollars. If I was DeathSantis, I'd immediately seek a TRO invalidating the unilateral amendment right and the next day I'd start enforcing that covenant prohibiting any display of the Disney IP on the grounds. National Guard trucks carrying people through the district due to Disney's draconian IP protection attempts would be a nice touch. "Sorry folks, this bus with Mickey Mouse on the side is not allowed to drive on the road that accesses the park." What an absolutely colossal fuck up putting that in there the way it is drafted.

I have no delusions that Disney corporate is some bastion of fairness and equality, they simply see where the puck is going to be and are positioning themselves accordingly.

Anyway, Florida has a ridiculous government run reinsurance scheme to shift the costs of oceanfront destruction onto the whole taxpayer base and that shit has been in effect for decades. I ain't gonna defend DeathSantis because his COVID recklessness killed billions in Florida, but their insurance market has been fucked for a long time. The reality is that if you live on the water or within the storm surge range your fucking homeowner's premiums should be roughly or 1/8 the cost of a rebuild because in any given year in Florida or even coastal SC there is about a 1/10 chance that you're gonna get hit by a hurricane and you have to build some admin costs and profit in for the insurer. But these assholes on the coast refuse to pay the actual costs of insurance. I hope more companies pull out of underwriting this bullshit.

Insuring in CA is tricky due to the fires and quakes, but you can predict with more certainty where the risk is higher for those events than you can with hurricanes. I can look at a google earth image of CA and tell you with pretty high confidence where the fire risk is going to be unreasonable.
